Neogen Chemicals is reorganising its battery materials business, moving its electrolyte salt operations from Neogen Ionics Limited to Neogen Morita New Materials Limited in a transaction valued at ₹245 crore.
The transfer will cover the assets and liabilities of the electrolyte salt undertaking and will be carried out on a going-concern basis. Neogen Morita New Materials is a step-down subsidiary of Neogen Chemicals, while Neogen Ionics is a wholly owned subsidiary.
The transaction is expected to be completed on or before March 31, 2027.
The size of the consideration is one of the more interesting aspects of the deal.
The business being transferred had a net worth of ₹155.52 crore as of March 31, 2026. That represented 19.05% of Neogen Chemicals’ consolidated net worth and 57.36% of Neogen Ionics’ net worth. The agreed consideration, however, is ₹245 crore in cash.
There is another number that stands out. The electrolyte salt undertaking recorded no revenue in the last financial year.
Despite that, the business is being transferred at an enterprise value of ₹245 crore, higher than its stated net worth of ₹155.52 crore.
That makes the restructuring worth watching beyond the usual mechanics of an intra-group transfer.
The operations being moved include lithium electrolyte salt, or LiPF6, assets and liabilities. Once the transaction is completed, these will sit under Neogen Morita New Materials.
For Neogen Chemicals, the move brings this part of its battery materials operations under a dedicated entity rather than leaving it within Neogen Ionics. The restructuring also leaves Neogen Ionics to focus on its broader specialty chemicals business.
Since the deal is taking place between wholly owned entities within the group, it qualifies as an exempt related-party transaction under Regulation 23 of the SEBI Listing Obligations and Disclosure Requirements framework.
The ₹245 crore cash consideration is expected to be received by Neogen Ionics on or before March 31, 2027.
The transaction comes at a time when Neogen Chemicals has also reported stronger numbers at the group level.
For the quarter ended June 30, 2026, the company reported consolidated revenue of ₹250.29 crore, compared with ₹186.73 crore in the corresponding quarter a year earlier. That translates into year-on-year growth of 34.04%.
Consolidated net profit rose 66.76% year-on-year to ₹17.11 crore.
Separately, the company had recovered cumulative insurance claims of ₹164 crore as of July 2026 in relation to the fire incident at its Dahej plant.
For now, the important development is the internal shift itself.
Neogen Chemicals is placing its LiPF6 business, which carried a net worth of ₹155.52 crore but generated no revenue in FY26, into Neogen Morita New Materials at a transaction value of ₹245 crore.
The transfer is expected to be completed by the end of March 2027, making that deadline the next key milestone in the restructuring.
